About the Role

Winrock International is seeking a Senior Director, Legal, Ethics & Compliance to lead its organization-wide risk management and compliance strategies. This executive-level position is responsible for ensuring adherence to legal, regulatory, and ethical standards, particularly in the context of US government contracting and international development operations.

As a trusted advisor to both executive leadership and the Board, the Senior Director will play a critical role in shaping Winrock’s legal and ethical culture, leading internal investigations, and managing enterprise risk, while aligning compliance activities with Winrock’s mission and values.

Key Responsibilities

Legal Risk Management & Governance

• Develop and lead the annual oversight plan and enterprise risk assessment

• Provide legal counsel to senior management and departments

• Coordinate with external legal counsel on litigation and dispute resolution

• Ensure compliance with U.S. and host-country laws, including federal regulations

• Support corporate governance, including Board meetings and documentation

Ethics & Compliance Leadership

• Oversee anti-fraud, waste, abuse, and ethics resolution processes

• Maintain and update the organization’s Code of Conduct and ethics policies

• Conduct internal investigations involving ethics and non-HR policy violations

• Promote organizational culture rooted in integrity, accountability, and compliance

Monitoring & Reporting

• Define and monitor Key Risk Indicators (KRIs)

• Present regular compliance and risk reports to the executive team and Board

• Manage internal reporting mechanisms (e.g., hotline), ensuring prompt action

• Ensure resolution and follow-up of reported concerns and audit findings

Required Qualifications

• Juris Doctor (JD) from an accredited U.S. law school

• Minimum 12 years of legal experience, including ethics and compliance

• Proven background in risk management and internal investigations

• Experience with U.S. government contracting (e.g., FAR, USAID)

• Minimum 10 years of management experience in legal, compliance, or risk roles

• Strong analytical, leadership, and change management capabilities

• Demonstrated ability to work across cultures with sensitivity and discretion

• Willingness to travel internationally up to 15%

• CCEP certification (Certified Compliance & Ethics Professional)

• In-depth familiarity with Federal Acquisition Regulation (FAR)

• Experience working in nonprofit, international development, or public sector organizations

• Ability to align complex legal and ethical systems with organizational mission

• Salary range: $189,000 – $225,000 (midpoint is typical for most hires)
